AND WHEREAS it is necessary to provide opportunities for Manitobans to participate in motocross in Manitoba;
AND WHEREAS there is a desire to organize quality events in all levels of the sport and at all levels of achievement;
AND WHEREAS there is a need to improve the coaching skills available to participating athletes;
AND WHEREAS there is a need to improve the knowledge and skill of officials in the province;
AND WHEREAS there is a desire to organize volunteer programs in Manitoba to assist the sport;
AND WHEREAS it is necessary to develop marketing programs that will widen the popularity of the sport;
AND WHEREAS it is desirable to work with the sport industry and manufacturers to promote the sport in Manitoba;
AND WHEREAS it is necessary to educate and assist race promoters in holding motocross events by providing the necessary national and provincial standards of safety and even infrastructure;
AND WHEREAS the raising of funds can best be accomplished through a concerted effort to impact both private and public sources;
AND WHEREAS the National Association of the Canadian Motosport Racing Club(hereinafter known as the “CMRC”) provides the following which are available to the sport in Manitoba:
Competition rules and standards;
Standards regarding officials;
Sanctions for approved matches and the insurance attendant thereto;
Recognized series of events and the computation of the points thereto;
Sponsorship opportunities for participating athletes;
Lobbying at the National level on behalf of the sport;
AND that the Associations with to participate in, contribute to and support these programs in Manitoba;
The MMA wishes to govern itself with the following constitution, rules and bylaws;
NOTE:
These clearly distinguish areas of both jurisdiction and opportunity. Some, such as standards with regards to officials etc., are the shared responsibility of the national and provincial body while others are clearly the jurisdiction of the provincial body. Others, such as the marketing, may overlap and be complimentary, however, it is recognized that the Association is set up for the benefit of participants and the sport in Manitoba exclusively. While it is anticipated that the Association will contribute at a national level, it is recognized that its primary responsibility is towards Manitobans.
2. Membership
I) MMA Members:
Manitoba Motocross Association members shall be:
II) Individual Members:
All members of the Association who have paid their dues for the current year and have been duly registered as an individual member of the Association in a form prescribed by the MMA shall be members of the MMA.
III) Additional Association members:
Additional Association members shall become Association members by way of a family membership, which provides the same rights as those individual members.
3. Board of Directors
I) The Board of the MMA shall be composed as follows:
President
Vice President
Treasurer
Past President
Board Members (8)
II) The membership will elect up to eleven (11) Board members at the Annual General Meeting to fill vacancies.
III) At the first Board meeting following the Annual General Meeting, the Board members will elect the President, Vice President and Treasurer.
IV) From the elected Board the following tasks will be assigned to the Board members:
Track Safety Coordinator
Clinic Coordinator
Promoter Representative
Referee Representative
Membership Representative
V) Any Board member who misses 5 meetings in a row will be considered inactive and that member can be replaced by way of an election.
VI) Any outgoing President that completes their term with the Board shall remain on the board in the capacity of Past President.
4. Powers and Duties of the Board
I) The members of the Board shall conduct all the business of the MMA.
II) Only the members of the Board shall vote at meetings of the MMA including the Annual General meeting and regular Board meetings, with the exception of the Board members at the Annual General Meeting.
III) Two out of the three designated Signing Officers for the bank must sign all cheques.
IV) Meetings of the Board shall be held no less frequently than every two months beginning in September and culminating the year at the end of May. With programs taking place during the summer months there will be no scheduled meetings during the time between June and September.
V) A quorum of the Board shall consist of 50% of the full Board plus one Board member. In the event that two consecutive Board meetings fail to reach a quorum the second such meeting shall require a quorum of only three Board members present.
VI) The chairperson of the meetings shall be the President or Vice President. The President shall vote only to break ties.
VII) The Board is empowered to but not restricted to:
Conduct the day-to-day affairs of the MMA;
Authorize disbursement of funds as approved in the budget passed at the Annual General Meeting;
Bind the MMA to contracts necessary to fulfill the day-to-day affairs of the Association;
The signatures required for the signing of cheques shall be required to bind the MMA to any contract.
5. Individual Member Rights
I) To attend and be heard at the Annual General Meeting;
II) To vote for the Board members;
III) To participate in all events of the MMA unless specifically prohibited from doing so or due to the nature of the event;
IV) To have access to all members of the MMA as a fully paid-up member of the Association.
6. Annual General Meeting
I) The General Meeting shall be held each year in October.
II) Notice shall be made of the Annual General meeting with sixty days by way of announcement through communication of the Board to the membership.
III) A financial statement shall be presented by the Board at the Annual General Meeting.
IV) The Board shall receive reports from all standing committees established by the Board from time to time.
V) The Board shall vote on motions, which have been included in the notice of the meeting.
VI) Only the Annual General Meeting is enabled to change this constitution.
Changes shall require thirty days notice.
A constitutional change shall only be effective if the motion to change receives a majority of two thirds of the members empowered to vote at the Annual General Meeting.
VII) The Board shall vote on motions from the membership, which shall be made and seconded by voting members present at the Annual General Meeting, provided such motions do not change the content, meaning or intent of the constitution.
VIII) A quorum shall consist of 50% of the Board plus one member.
IX) Length of service or each officer shall be:
President: 2 years
Vice President: 2 years
Treasurer: 2 years
Board members: 2 years
7. Duties of the Officers of the Association
For greater clarity without restricting the ability of the Board to operate in its most efficient manner the following are provided as guidelines:
President
Shall Preside at all Board meetings and Annual General Meetings of the MMA;
Shall, wherever possible, represent the views of the MMA at all public gatherings;
Shall, wherever possible, represent the views of the MMA and as such, shall be responsible for the proper distribution of the funds and the binding of the MMA to contracts.
Vice-President
Shall act in the capacity of the President in the event the President is unable to fulfill those duties or is not in attendance at a properly called meeting or other event.
Treasurer
Is responsible for ensuring that a budget is drawn-up for presentation and approval at the Annual General Meeting;
Shall monitor the budget throughout the year to ensure the adherence to the approved budget;
Shall keep proper accounts of the expenditure of funds and shall present a report to each Board meeting;
Is responsible for the preparation of a financial statement to each Annual General Meeting.
Board Members
All Board members are required to act for the general good of all of the sport in Manitoba;
Board members elected by their Association members shall represent the views of their Association but shall be required to act in accordance with point I);
Board members elected by their Association members shall represent the decision of the Board to their Association Member and communicate them to the latter.
